There was a moment, a few months ago, when someone who knows this industry well told us something I didn’t fully absorb at the time: serious miners don’t accumulate machines, they accumulate Bitcoin. The first is structural: the protocol automatically adjusts mining difficulty. If there are fewer miners, the network becomes easier to mine for those who remain, and profitability rebalances. There is no collapse, there is adjustment. The system is designed to survive exactly this kind of exit.

The second is economic: mining will continue to be attractive for those who have something Sobtree does not have, cheap surplus energy. Whoever operates in a region with excess renewable energy, solar, hydroelectric, geothermal, can convert that surplus directly into Bitcoin with a single machine and almost no additional friction. For them, mining is not a race against hardware obsolescence: it is the monetization of a resource that would otherwise go to waste. That is a legitimate and potentially very profitable business. It just was not ours.

So what does Sobtree do from here?

The answer is simpler than it sounds, and it is exactly what we should have done from the beginning.

• Bonds: real entropy varies with interest rate cycles, but long-term studies of government bonds show 2 to 4 percent annual real degradation when inflation outpaces yields. Rising rates can amplify this dramatically.

• Stocks: despite growth potential, dilution, management decisions and monetary expansion produce an entropy effect of 1.5 to 3 percent per year in real purchasing power relative to a hard monetary base.

All of them lose energy over time.

Bitcoin does not.

And when you factor in fiscal friction, the gap becomes enormous.

Every fiat return is taxed.

If one company retains only 70 percent of the economic energy it generates, while a Bitcoin-first architecture retains 95 to 99 percent thanks to reduced friction and no asset sales, after twenty years these companies are not in different leagues. They are in different universes.

In the United States, for example, bonus depreciation allows you to deduct 100% of your investment in the same fiscal year. In Spain or Mexico, the mechanism is similar, though the percentages and timeframes differ. But the essence remains: a drastic reduction in taxable income the year you invest, without compromising future cash flow.

Imagine this scenario.

Your company earns €900,000 in annual profit. You decide to allocate €350,000 to purchase ASIC equipment and electrical infrastructure to launch a modest mining operation, not to compete with industrial players, but to build a productive asset inside your balance sheet.

If the tax code allows you to deduct that investment immediately, you lower your taxable base by €350,000. With an effective tax rate of 30%, that translates into an instant tax saving of €105,000.

And while that fiscal benefit hits right away, your miners keep producing Bitcoin every single day for the next five or six years.

That’s the essential difference.

When I build and operate companies, I always think about the resilience of the balance sheet. How to resist inflation, currency risk, or events beyond my control. A company can have a strong brand and loyal clients, and still be exposed to the invisible risk of holding a melting currency. If your reserves are in fiat that loses 8% of purchasing power every year, in five years you have destroyed more than a third of your retained value. Accounting doesn’t show it, but the loss is real.

That is why I believe every company should hold Bitcoin on its balance sheet. Not as a speculative move, but as a principle of corporate survival.

Bitcoin doesn’t depend on a central bank, it cannot be confiscated, and its issuance is capped. Those three features make it the only truly hard reserve asset available to companies today. Beyond ideology, it’s simple business logic: if your treasury is in fiat, you depend on policy; if part of it is in Bitcoin, you own a foundation that no one can debase.

Once you introduce Bitcoin into your treasury, you stop thinking in quarterly liquidity and start thinking in antifragile monetary design. Fiat loses value, Bitcoin preserves it. But the next layer of sophistication comes when you collateralize that Bitcoin to generate productive credit, not to speculate, but to grow operations.

Until recently, companies depended on banks for that. Not anymore. There are now regulated platforms such as Ledn, CoinLoans, and Unchained Capital that allow you to obtain fiat or stablecoin credit lines using your corporate Bitcoin as collateral.

And beyond these, there are on-chain credit alternatives built on smart contracts that already operate at lower rates, around 4–5%, through protocols such as Aave or Morpho. These allow you to deploy your Bitcoin into a trustless contract, borrow against it in stablecoins, and use that liquidity for real operations, without touching your BTC or asking permission from any intermediary.

At Sobtree, we apply this model with discipline. We never collateralize more than 25% of our Bitcoin position, and we use those credit lines exclusively to buy new mining machines. The logic is straightforward: we buy Bitcoin, we collateralize a fraction of it, and with that credit we acquire new mining rigs. Those rigs generate new Bitcoin, closing the cycle. In practice, this means we expand our productive base while the original reserve keeps compounding.

Let me give you a simple numerical example. Imagine a company holding 2 BTC on its balance sheet, worth around €120,000 (assuming 60k/BTC). It collateralizes 25% of that value (roughly €30,000) through a 4.5% annual credit line on Aave or Morpho. With those €30,000, the company purchases two new mining machines, each capable of generating 0.07 BTC per year at current difficulty and energy costs.

At the end of the year:

• The company has earned 0.14 BTC in mined Bitcoin, worth approximately €8,400 if BTC remains at €60,000.

• The interest paid on the credit is €1,350 (4.5% of €30,000).

• Net gain: €7,050, or roughly 23.5% ROI on the deployed capital.

If during that same year Bitcoin appreciates by 15%, the underlying 2 BTC reserve grows in value by €18,000. Combined, the company has increased total balance value by over €25,000, while keeping its core reserve intact.

And there’s another layer most people miss: tax efficiency. In many jurisdictions, if a company earns €1,000,000 in profit, it must pay corporate tax on that amount. However, if it reinvests part of that profit into mining equipment, that expense can often be deducted or depreciated, reducing the taxable base while converting fiat into productive hard assets.

This is how a treasury stops decaying in fiat terms and starts working as a self-reinforcing system, an engine that expands capacity while preserving hard reserves.

These are the pillars of a Bitcoin-first treasury architecture:

• Hold a base reserve in Bitcoin according to operational liquidity needs

• Use BTC-backed credit lines (never exceeding 25%) to finance productive assets

• Operate through trusted custody or multisig solutions for governance

This is how a company transitions from being a passive participant in the fiat system to becoming a self-sovereign entitywith its own internal monetary engine.

But the essential idea is simple: a company without Bitcoin on its balance sheet is exposed to slow erosion. Fiat wealth fades quietly, while hard reserves endure. That’s why I say it’s not about whether a society should hold Bitcoin. It’s about how soon it will integrate it, and under what conditions. Because those who arrive first won’t just have a financial edge. They’ll have a structural advantage in resilience, sovereignty, and the ability to act without permission.

The societies that understand this today will be the ones building the bridges to the new financial world. The others will simply pay toll.

For years I watched in silence as wealthy families and ultra-rich individuals designed invisible systems to protect and grow their wealth without ever passing through the hands of the State. It wasn’t a secret, but it wasn’t something taught either. It didn’t need to be. Those on the inside already knew how it worked. And those outside just kept selling assets, paying taxes, and losing their edge.

That strategy is called Buy Borrow Die. Buy appreciating assets. Borrow against them. And die with everything structured. It sounds simple. But in practice, it’s an art.

With Bitcoin, this model is no longer a privilege reserved for families with offices in Zurich or foundations in Delaware. It becomes an accessible, powerful, and antifragile architecture for anyone who thinks in decades, not cycles.

First, you buy Bitcoin. You don’t trade it. You don’t leverage it on exchanges. You accumulate it methodically, preferably in cold storage, with an aggressive DCA calendar if you’re in accumulation mode, or with tactical buys when cycles allow. It’s your base asset. Not because it’s magical, but because it’s the only one with absolute ownership, fixed issuance, and real confiscation resistance.

Then you use it as collateral. But not just any way. The key lies in the structure and the platform. You should keep a conservative ratio, ideally between 15% and 25% loan-to-value, to avoid violent liquidations. If you hold 1 BTC at $100,000, you can borrow between $15,000 and $25,000. That’s it. Technically you can borrow more. But if you’re building on debt, stability matters more than greed.

With that fiat capital, you do two things:

• Finance your lifestyle if you already live off assets

• Or invest in assets that generate fiat cashflow: rentals, digital businesses, productive equity, tourist boats, anything that pays monthly without consuming Bitcoin

The difference is brutal. While the average person sells Bitcoin to buy a house, then starts from scratch in the next cycle, you simply take a loan, buy the asset, and in many cases, the cashflow that asset generates allows you to cover the loan interest. Or even pay it off entirely.

At the moment, I don’t use any specific platform. I’m studying alternatives and observing the space. There are decentralized solutions evolving quickly, especially in multi-chain environments and protocols with self-custodied collateral. But there are also centralized options already working and offering relatively smooth access, such as Binance, Nexo, or YouHodler. Even traditional banks like JP Morgan have announced they’ll offer Bitcoin-backed loans to private banking clients. This is just beginning.

The structure I aim to implement combines a holding company in Spain with Bitcoin ownership outside the parent company’s balance sheet. It’s a model that separates operational risk from asset risk, and allows for fiscal flexibility without conflicting with local regulations. It’s not finalized, but the design is clear: the Bitcoin must be protected, accessible, and outside the reach of ordinary operations.

When the time to die arrives, and it will, that BTC will pass to my heirs within a preconfigured structure. Whether that’s a trust, a holding with pre-designated shareholders, or a foundation, what matters is that death doesn’t trigger a sale. There’s no capital gains tax. No need to unwind positions. Just a transfer of control.

Buy. Borrow. Die.

It’s simple. It’s powerful. And above all, it’s repeatable. You only need three things:

• An asset no one can take from you (Bitcoin)

• A system that lets you extract value without selling (BTC-backed loans)

Since the dawn of human cooperation for survival, money has served as a means to store and transfer energy. I do not need to invent a horror story to illustrate it; Cyprus did the work for us in 2013 when a surprise “haircut” confiscated up to 47 % of bank deposits above €100 000. Scores of perfectly solvent businesses woke up to find their working capital frozen or halved.

Owning the private keys to your treasury turns that type of event into headline noise rather than an existential threat. The State may issue decrees; it cannot sign your transactions.

Over 830 000 BTC already sit on corporate balance sheets, close to 4 % of the eventual supply, and institutional holdings grew about 50 % in 2024 alone. Many of those positions were built quietly; public announcements arrive only when the stack is unmovable. Firms that wait for unanimous approval will arrive last and pay the highest ticket.

Designing a Treasury That Keeps the Ten Percent

After months of modelling scenarios, we believe an antifragile policy should include:

• Loan-to-value ceilings between 15 % and 25 % on any BTC-backed credit, so an 60 % draw-down cannot trigger liquidation.

• 2-of-3 multi-sig custody split across Spain, Switzerland and Gibraltar, three friendlier jurisdictions, limiting single-country confiscation risk.

• Specialised crime-insurance coverage on keys and procedures; premiums hover around 0.4 % of insured value.

• Transparent bookkeeping: every on-chain move reconciled inside the ERP and filed for the auditor; clarity beats secrecy.

• Automated fiat-to-BTC bridge: excess operating cash sweeps daily via an OTC desk straight into the vault, no human hesitation, no weekend gaps.

We are not prescribing; we are documenting what the numbers suggest a prudent firm could do to seal the leaks highlighted in that yellow list.

Debt-soaked governments plus ageing banking infrastructure equal more currency creation, not less. Agile SMEs and mid-caps will surf that tide, while risk-averse giants debate press releases. My bet is that the next blue-chip to shock Wall Street will not announce a mining farm; it will silently hold Bitcoin first, explain later.

Two weeks ago we officially became the private Spanish company with the largest Bitcoin treasury according to Bitcointreasuries.net. That might sound grandiose, as if we were holding thousands of coins, but the truth is far more modest and, at the same time, much more interesting. We did it with just 0.105 BTC.

The number itself doesn’t matter. What matters is the direction. For the first time, a Spanish private company has entered a list that until now seemed reserved for US and Canadian firms. Someone had to take the first step. We did it, and that makes all the difference.

My goal has never been to buy Bitcoin and let it sit idle. My goal is to make it work, to integrate it into a living system that not only preserves capital but produces cashflow. That is the essence of Sobtree: building a treasury that gets stronger with every market cycle.

Strategic premise

• Marathon, one of the world’s largest miners, announced in 2024 that over 60% of its energy comes from PPA contracts tied to solar and wind farms

• Greenidge Generation, based in New York, sources a growing share of its electricity from clean energy, and has publicly committed to integrating solar into its physical infrastructure

This trend is not just environmental—it is strategic. As energy markets become more volatile and reputational risk increases for high-consumption industries, clean energy becomes a source of price stability, narrative advantage, and long-term alignment.

How to replicate it

1. Energy audit

   Start with your load. Map how much electricity you’re consuming, hourly, daily, monthly. Without this, you’re flying blind.

2. Renewable PPAs (Power Purchase Agreements)

   In Spain alone, over 6 GW of new PPA contracts were signed in 2024. A 10-year solar PPA might cost you ~60 €/MWh, giving you long-term visibility and independence from short-term spot prices.

3. Own generation

   A 5 MW solar plant in southern Spain can produce ~9 GWh/year. With batteries and smart grid balancing, that’s enough to fully cover a 2 MW mining operation, operating 24/7.

4. Renewable energy certificates

   In Spain and the EU, you can certify every kWh through GO-GOs. These are traceable, tradeable, and essential to prove what you’re actually consuming.

5. Storage and grid flexibility

   Add battery systems or use grid services to handle intermittency. Being able to balance your loads during cloudy days or still nights is key to achieving full coverage.

6. Green financing

   Between European NextGen funds, ESG-focused banks, and local subsidies, renewable projects receive preferential treatment. Use that leverage.

7. Legal structures

   A simple Spanish SL might suffice to start. But holding structures in Malta or elsewhere can help isolate risk, protect treasury assets, and access tax efficiency for international growth.

Numerical example: two real-world scenarios

Let’s assume you operate a 2 MW Bitcoin mining facility 24/7, which consumes ~17.5 GWh per year.

Scenario 1: Conservative setup

• Market price for energy: 60 €/MWh = 1.05 M€/year

• You install a 5 MW solar plant (produces ~9 GWh/year in Spain)

After launching the Sobtree Blueprint, today I want to share the first operational step I consider essential for any company, or individual, aiming to build a financial architecture with Bitcoin at the core: opening an account with a solid exchange compatible with corporate structures.

This step, which might seem simple from the outside, is actually one of the most critical. Because it’s not just about opening an account to buy BTC. It’s about integrating that exchange into a system that supports legal, fiscal, accounting, and strategic operations. That allows secure fiat and Bitcoin flows. That doesn’t become a bottleneck. And that aligns with your vision.

Yes, individuals have far more options: Binance, Bit2Me, Swissborg, Relai. The offering is broad, varied, functional. But when you cross the line and want to operate as a company, under a corporate tax ID, with a defined social purpose and audited accounting, the landscape narrows fast. Today I want to walk you through the exchanges I studied deeply, and the one I chose as Sobtree’s operational base.

Registering Sobtree in Spain has been anything but agile. Between depositing the initial capital, opening a provisional bank account, visiting the notary, drafting bylaws, and defining the business purpose, the process took weeks. In my case: I generate income through a newsletter, channel it into BTC accumulation, and document everything to scale over time. The foundations of something much larger are already in place. But none of that matters if you don’t have a strong exchange from which to operate with clarity and strength.

Coinbase Prime: institutional, but out of range

Coinbase caught my eye because of its institutional-grade infrastructure. Companies like Bitwise or Ark use its custody. The service is robust, regulated, well positioned. But I quickly found out the entry cost was high: $5,000 per year just for BTC custody, not counting fees. That might make sense if you’re managing hundreds of BTC. But for a small company like Sobtree, still in its early phase, it’s an unnecessary structural friction. Premature sophistication that can drain resources when what you need most is focus and efficiency.

Relai Business: promising, but still limited

I also spoke with Relai. I liked their philosophy: buy Bitcoin directly, no external custody, and with a European focus. Relai Business offers a solution for small companies with a much more agile onboarding process than Coinbase or Kraken. But when I looked into their operations, I noticed limitations. It’s not a full exchange but rather a direct purchase gateway. No advanced tools, no market depth, and no clear roadmap for integrating custody, lending, or collateral features. Still, it’s an option I’ll keep on my radar for personal structures or as a complementary node within Sobtree.

Kraken Business: solid, accessible, functional

Kraken turned out to be the solution that worked. They asked for a broad set of documents: corporate bylaws, tax ID, proof of address, a detailed activity description. But after completing everything, I passed verification and was able to open an account as a business.

Here’s what I found valuable:

• No fixed custody fee

• Low transaction fees

• Reliable and regulated in Europe

• Future scalability into BTC-backed lending, custody modules, collateralized strategies

Binance Institutional: the ideal operational base

But the real turning point was realizing that for Sobtree, Binance Institutional is the most strategic choice. It offers all the robustness I need, combined with tools that integrate perfectly with our long-term vision. The critical element is its collateralized Loans module. This allows me to deposit BTC as collateral and, while holding the asset safely, access liquidity without selling it. That liquidity can then be used to finance operations, pay suppliers, or even scale external fiat-generating projects.

Why is this crucial? Because the essence of a Bitcoin-first treasury is to never sell the core asset. Selling fragments the strategy, interrupts compounding, and puts you back into the fragile fiat loop. A millionaire Business

This is a business where the deeper you go, the less entropy there is. In the traditional model, operational, fiscal, and liquidity friction drains a company’s energy. Every change, every step, every mistake translates into loss. Here, the opposite happens: every correct decision not only preserves energy, it compounds structural efficiency.

It’s not that this business has no friction. It’s that friction doesn’t leak. It transforms into momentum. Into resilience. Into architecture. Into compounding.

And that, with clear vision and precise execution, is what turns a small company like Sobtree, with just a few thousand euros in monthly inflow, into a financial architecture that may be worth millions in a few years.
